Effective: 2026-05-16
These Terms of Use (“Terms”) govern your access to and use of the Ink-LS platform, including the website at ink-ls.com, the marketplace, the relay service, and the Ink Host and Ink Client desktop applications (collectively, the “Service”). By creating an account or using any part of the Service, you (“you”, “your”, “User”) agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 16 years old to create an account. By registering, you represent that you meet this age requirement and that you have the legal capacity to enter into a binding agreement in your jurisdiction.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not, and will not permit any third party to:
We reserve the right to investigate and to suspend or terminate access for any User we reasonably believe has violated this section.
You retain ownership of any data, prompts, model weights, completions, or other content you upload, host, or generate through the Service (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, transmit, route, cache, and display Your Content solely to the extent necessary to operate and maintain the Service.
You represent and warrant that:
If you publish an API to the marketplace as a “Host” (creator):
If you subscribe to or call a marketplace API as a “Subscriber”:
The Service is a routing layer for inference performed locally on hardware controlled by the User registered as the Host operator. Accordingly, you may not, directly or indirectly, by yourself or via any agent, contractor, automated tool, or third party, do any of the following while using or interacting with the Service:
(a) No proxying. Configure, operate, host, or expose any endpoint, Host, mesh node, or other inference resource on the Service that forwards, relays, proxies, gateways, tunnels, or otherwise routes inference requests to a Third-Party AI Provider’s API. A “Third-Party AI Provider” means any commercial, academic, government, or research provider of large-language-model inference, embedding, image-generation, speech-synthesis, transcription, or other machine-learning inference services, including without limitation OpenAI, OpenAI Global LLC, Anthropic PBC, Google LLC (including Gemini, Vertex AI, Generative AI Studio, Bard, and PaLM), Amazon Web Services Inc. (including Bedrock), Microsoft Corporation (including Azure OpenAI), Meta Platforms Inc. (including any first-party Llama, Code Llama, or successor API), Mistral AI, Cohere Inc., AI21 Labs, Stability AI, OpenRouter, Together AI, Groq Inc., Replicate Inc., HuggingFace Inc., DeepInfra, Fireworks AI, Perplexity AI, xAI Corp. (including Grok), Hyperbolic, Modal Inc., Fal AI, NVIDIA NIM, or any successor, affiliate, parent, subsidiary, white-label, rebrand, or legal-entity reorganization of any of the foregoing.
(b) No credential sharing. Configure, store, transmit, embed, expose, or otherwise make accessible through the Service any API key, access token, bearer token, OAuth credential, session identifier, service-account JSON, or any other authentication artifact issued by a Third-Party AI Provider, in any manner that enables another User, the Service, or any third party to consume inference capacity, compute, quota, tokens, or any other billable resource of that Third-Party AI Provider account. For clarity, “credential sharing” includes — but is not limited to — embedding a Third-Party AI Provider key in a Host configuration, encoding such a key in environment variables of a relay-connected service, or operating any intermediary that injects such a key into outbound requests.
(c) No misbranding. Name, describe, label, market, advertise, list, tag, promote, or in any other way represent any endpoint, Host, marketplace listing, account, profile, README, banner, social-media post, or other Service surface in a manner that suggests, implies, asserts, or fabricates that the inference provided is generated by, operated by, sponsored by, endorsed by, affiliated with, partnered with, equivalent to, derived from, distilled from, fine-tuned from, or otherwise connected to any Third-Party AI Provider’s models, trademarks, brand names, or model identifiers (including marketing names such as “GPT”, “Claude”, “Sonnet”, “Opus”, “Haiku”, “Gemini”, “PaLM”, “Bard”, “Llama”, “Mistral”, “Grok”, or any successor) — or any leaked, stolen, jailbroken, cracked, modified, fine-tuned-without- permission, or otherwise unauthorized copy of any of the foregoing.
(d) No modified-Host workaround. Modify, fork, recompile, hot-patch, dynamically link to, inject into, hook, or otherwise alter the official Ink Host or Ink Client desktop applications, the Ink relay protocol, the Ink marketplace API, or any other Service component in any manner whose purpose, effect, or intent — judged objectively — is to enable, conceal, facilitate, or assist any activity prohibited by subsections (a) through (c), and you may not connect any so-modified component to the Service. The fact that the Ink Host or Ink Client may be distributed in source form does NOT authorize, license, or permit such modification when the modified component is used in conjunction with the Service.
(e) No resale of third-party inference. Resell, sublicense, redistribute, commercially or non-commercially share, or otherwise monetize access to inference services obtained from a Third-Party AI Provider, whether through the Service or independently of it, when such access is made available to any party other than yourself.
Each User remains solely responsible for compliance with the terms of service, usage policies, acceptable-use policies, and any other applicable agreements of every Third-Party AI Provider whose services that User accesses, regardless of whether such access is initiated through the Service, through the Ink Client used as a “bring-your-own- key” front-end, through an independent third-party application, or otherwise. The Service disclaims any and all responsibility for, and shall not be liable in respect of, any breach by a User of a Third-Party AI Provider’s terms — whether such breach is committed via a modified Host, shared credentials, mislabelled endpoint, or otherwise — and you agree to indemnify and hold the Service harmless against any claim arising from such breach pursuant to Section 9.
Violation of this Section 6 constitutes a material breach. We reserve the right, immediately and without prior notice, to:
The Service may employ automated tooling — including substring matching on endpoint names, display names, descriptions, READMEs, and other User-supplied fields — to identify and pre-emptively block listings reasonably likely to violate this Section. Such automated decisions are not appealable on the basis of the User’s subjective intent; you remain solely responsible for choosing identifiers, descriptions, and other public-facing strings that do not collide with the names, trademarks, or model identifiers of Third-Party AI Providers.
Permitted personal “bring-your-own-key” use (carve-out). A User using their own credentials, on their own device, to access a Third-Party AI Provider directly through the Ink Client’s optional “bring-your-own-key” affordance — where (i) no inference traffic is routed via, proxied through, or stored on the Service’s infrastructure, (ii) no other User consumes that User’s quota or billable resources, and (iii) the User remains the sole party to the Third-Party AI Provider’s terms — does NOT violate this Section. The restriction applies to proxying, sharing, reselling, and misbranding through the Service, not to a single User’s lawful, personal use of their own provider account on their own device.
THE SERVICE IS PROVIDED “AS-IS” AND “AS-AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS. WE DO NOT WARRANT THE OUTPUT OF ANY MODEL OR API HOSTED ON THE PLATFORM.
You acknowledge that AI-generated output may be inaccurate, biased, offensive, or otherwise unsuitable, and that you are solely responsible for evaluating its appropriateness for your use case.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE SERVICE, ITS OPERATORS, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages; in such jurisdictions, the foregoing limitations apply to the fullest extent permitted by law.
You agree to defend, indemnify, and hold harmless the Service, its operators, and its affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your use or misuse of the Service, (b) Your Content, (c) any API you host, or (d) your violation of these Terms or of any applicable law.
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including (without limitation) any breach of these Terms, suspected abuse, fraud, chargeback, or legal requirement. You may terminate your account at any time by contacting us; outstanding fees remain due. Sections 4, 5, 6, 8, 9, 10, and 13 survive termination.
We may update these Terms from time to time. When we do, we will bump the version on this page and prompt you to review and accept the updated Terms on your next login. Continued use of the Service after a new version takes effect constitutes acceptance of the new Terms. If you do not accept the updated Terms, you must stop using the Service and may request account closure.
These Terms are governed by the laws of Bulgaria, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the competent courts of Sofia, Bulgaria, and you consent to the personal jurisdiction of those courts. Nothing in this section limits any consumer right that applicable law makes non-waivable.
